1. Parties

This Driver Agreement is between JupiRide ("Company," "we," or "us") and you, the individual applying to use the JupiRide platform as a driver ("Driver," "you"). By creating a driver account and clicking "I Agree," you agree to all terms of this Agreement.

2. Independent Contractor Status (Prop 22)

You are an independent contractor, not an employee of JupiRide. This Agreement is governed by California Proposition 22 (2020). Under this Agreement:

• You set your own schedule. JupiRide will never require you to log in at specific times or work a minimum number of hours.
• You can work for other platforms. You are free to drive for Lyft, Uber, or any other rideshare platform simultaneously.
• You use your own vehicle. JupiRide does not provide a vehicle. You are responsible for your vehicle, fuel, maintenance, and expenses.
• You are not entitled to employee benefits (health insurance, workers compensation, unemployment insurance, paid leave) except as specifically provided under Prop 22 (see Section 7).

3. Eligibility Requirements

To use the JupiRide platform as a driver, you must at all times:

• Be at least 21 years old
• Hold a valid California driver license
• Own or have authorized use of a vehicle meeting JupiRide vehicle requirements
• Maintain valid California vehicle registration
• Carry auto insurance meeting California minimum requirements
• Pass and maintain a satisfactory background check (criminal and driving record)
• Have a smartphone compatible with the JupiRide Driver app

4. How the Platform Works

JupiRide is a technology platform that connects passengers with independent drivers. When online in the Driver app, JupiRide may offer you ride requests near your location. You may accept or decline any request - you are never required to accept. JupiRide processes passenger payment and calculates your earnings. JupiRide does not control how you drive, what route you take, or how you interact with passengers, provided you comply with this Agreement and applicable law.

5. Earnings and Payment

• Standard rides: You receive 70% of the passenger fare after JupiRide service fee.
• Scheduled (pre-booked) rides: You receive 80% of the passenger fare after JupiRide service fee.
• Earnings breakdown is visible in the Driver app after each trip.
• Payment on demand: Transfer your available balance to your linked bank account at any time through the Driver app.

6. Insurance

While active on the JupiRide platform, JupiRide maintains the following coverage as required by California law and Prop 22:

• App on, waiting for a request: Contingent liability $50,000/person, $100,000/accident, $25,000 property damage
• Ride accepted through trip completion: $1,000,000 liability per incident

Your personal auto insurance may not cover accidents during platform use. You are responsible for understanding your personal policy.

7. Prop 22 Earnings Guarantee and Benefits

Earnings guarantee: If your net earnings during active driving time fall below 120% of the applicable California minimum wage, JupiRide will make up the difference. Applies only to active engaged time (ride acceptance through drop-off).

Expense reimbursement: JupiRide pays $0.30 per engaged mile.

Healthcare stipend: If you average 15+ engaged hours per week in a calendar quarter, JupiRide provides a healthcare stipend at the rate set annually by the California Department of Finance under Prop 22. The higher stipend rate applies at 25+ engaged hours per week. Contact support@jupiride.com for current stipend amounts.

8. Driver Conduct and Standards

You agree to: follow all traffic laws, treat passengers with respect, no discrimination based on any protected characteristic, no handheld phone while driving, no driving while impaired, maintain vehicle in safe and clean condition, accurately represent your location in the Driver app, and not accept cash payments outside the JupiRide platform.

9. Account Deactivation

JupiRide may deactivate your driver account at any time, for any reason or no reason, without advance notice. Common reasons include low passenger ratings, safety complaints, fraudulent activity, violation of this Agreement, or failure to maintain eligibility requirements.

You may stop using the JupiRide platform at any time by going offline in the Driver app. No penalty, minimum commitment, or termination fee.

10. Privacy and Data

JupiRide collects and uses your personal information as described in our Privacy Policy. We never sell your personal data. We share your first name and location with passengers only during active rides.

11. Dispute Resolution - Mandatory Arbitration

Any dispute between you and JupiRide must be resolved through individual binding arbitration, not in court. You waive any right to participate in a class action or collective proceeding against JupiRide. Arbitration administered by the American Arbitration Association (AAA) under its commercial rules, in Riverside County, California. Either party may bring individual claims in small claims court if the claim qualifies. This arbitration agreement does not apply to claims before the California Labor Commissioner or workers compensation board.

12. Limitation of Liability

JupiRide liability to you for any claim is limited to the earnings JupiRide owes you for the specific trip(s) giving rise to the claim. JupiRide is not liable for your personal vehicle damage, personal injuries during non-active platform time, lost income due to platform downtime or deactivation, or actions of passengers.

13. Governing Law

This Agreement is governed by California law. Any arbitration or court proceeding shall take place in Riverside County, California.

14. Changes to This Agreement

JupiRide may update this Agreement from time to time. We will notify you via push notification and by presenting the updated Agreement in the app. Continued use after the effective date constitutes acceptance.
